Terms of Service

The terms and conditions governing your use of MeterBase.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and MeterBase Inc. ("MeterBase," "we," "us," or "our") governing your access to and use of the MeterBase platform, website, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Services

MeterBase provides an AI-powered utility management platform for multifamily property managers, including but not limited to:

  • Utility bill analysis and data extraction
  • Tariff comparison and rate optimization recommendations
  • RUBS (Ratio Utility Billing System) calculation and tenant billing
  • Property management system integrations
  • Portfolio analytics and reporting
  • Rate change monitoring and alerts

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Fees and Payment

Certain features of the Services require payment. By subscribing to a paid plan, you agree to the following:

  • Fees are based on the pricing plan selected and the number of units managed
  • Fees are billed in advance on a monthly or annual basis, as specified in your subscription
  • All fees are non-refundable except as expressly stated in these Terms or required by law
  • We may change pricing with 30 days' advance notice; continued use after the change constitutes acceptance
  • You are responsible for all applicable taxes

5. Data

Your Data

You retain all rights to data you submit to the Services ("Customer Data"). You grant MeterBase a limited, non-exclusive license to use, process, and store Customer Data solely to provide and improve the Services.

Data Protection

We will handle Customer Data in accordance with our Privacy Policy and applicable data protection laws. We implement commercially reasonable security measures to protect Customer Data.

Utility Rate Data

Tariff and rate data provided through the Services is sourced from publicly available databases and is provided "as is." While we strive for accuracy, we do not guarantee that tariff data is complete, current, or error-free. You should verify any rate information with your utility provider before making decisions.

6. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content (excluding Customer Data), are owned by MeterBase and protected by intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Remove or alter any proprietary notices
  • Use the Services to build a competing product
  • Sublicense, resell, or redistribute the Services without our written consent

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY
  • METERBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • METERBASE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • METERBASE IS NOT LIABLE FOR ANY DECISIONS MADE BASED ON TARIFF DATA, RATE RECOMMENDATIONS, OR BILLING CALCULATIONS PROVIDED THROUGH THE SERVICES

8. Termination

Either party may terminate these Terms as follows:

  • By You: You may cancel your account at any time through the platform or by contacting us. Cancellation takes effect at the end of the current billing period.
  • By Us: We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we are required to do so by law. We will provide reasonable notice when possible.

Upon termination, your right to use the Services ceases immediately. We will make your Customer Data available for export for 30 days following termination, after which it may be deleted.

9. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
  • Dispute Resolution: Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and MeterBase regarding the Services.
  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: We may provide notices through the platform, by email, or by posting on our website.
